Preamble

These General Terms and Conditions of Sale ("Terms") govern the contractual relationship between Kevin Forma (hereinafter "Kayo Agency" or "the Provider"), a sole trader domiciled at 27 Avenue Pénélope, Box 7, 1190 Brussels, company number BE 0697.861.253, and any natural or legal person (hereinafter "the Client") wishing to use his services.

Any order implies unreserved acceptance of these Terms, which prevail over any other document issued by the Client.

Scope

These Terms apply to the following services provided by Kayo Agency:

• →Design and development of websites (showcase, e-commerce, landing page)
• →Development of web and mobile applications (SaaS, dashboards, internal tools)
• →Creation of visual identities (logo, graphic charter, brand guidelines)
• →Content production (copywriting, photography, video, motion design)
• →Management of advertising campaigns (Meta Ads, Google Ads, organic strategy)
• →Digital strategy consulting

Quotes and acceptance

Every service is subject to a detailed quote, valid for 30 days from its date of issue. The quote specifies the nature of the services, the estimated timelines and the applicable rates.

The collaboration begins upon receipt of the signed quote (or confirmation by email) together with the corresponding deposit. Any change to the scope after approval may be subject to a pricing addendum.

Rates and payment terms

Prices are expressed in euros, excluding taxes. Kayo Agency benefits from the VAT exemption scheme (Article 56bis of the Belgian VAT Code) — VAT is not applicable and does not appear on invoices.

The standard payment terms are:

• →Deposit of 30 to 50% upon order (depending on the project amount)
• →Balance upon delivery or go-live
• →Payment by bank transfer (IBAN provided on the invoice)
• →Payment term: 14 days from the invoice date

In the event of late payment, late-payment interest equal to the ECB key rate plus 8 percentage points applies automatically, without prior formal notice.

Delivery timelines

Delivery timelines are set out in the accepted quote and depend on the nature and complexity of the project. They are indicative and may vary depending on how promptly the Client provides the required materials (text, images, access, approvals).

Kayo Agency cannot be held liable for any delay attributable to the Client or to external circumstances.

Delivery

Deliverables are handed over in digital form: administrator access to the live website, source files of graphic elements, and/or access to code repositories, as agreed in the quote.

Warranty and support

Kayo Agency guarantees the correction of bugs and malfunctions attributable to the work performed for a period of one month from final delivery, at no extra cost. This warranty does not cover content changes, functional enhancements or malfunctions resulting from actions by the Client or third parties.

Intellectual property

Until full payment of the amounts due, Kayo Agency remains the holder of all intellectual property rights in the works created. Upon full payment, the exploitation rights are transferred to the Client under the terms set out in the quote.

Kayo Agency reserves the right to feature completed projects in its portfolio, unless the Client explicitly agrees otherwise.

Confidentiality

Kayo Agency undertakes to keep strictly confidential all commercial, technical and strategic information provided by the Client in the course of the assignment, both for the duration of the contractual relationship and after its termination.

Force majeure

Neither party may be held liable for a breach of its contractual obligations in the event of force majeure within the meaning of Article 1148 of the Belgian Civil Code, including in particular natural disasters, strikes, Internet infrastructure failures, epidemics or government decisions.

Governing law

These Terms are governed by Belgian law. The French version prevails in the event of any dispute over interpretation.

Disputes

In the event of a dispute, the parties undertake to seek an amicable solution before any legal action. Failing an amicable agreement within 30 days, the courts of the judicial district of Brussels shall have exclusive jurisdiction.
